Abstract
The chapter examines the evolving role of corporate directors as global expectations increasingly emphasise sustainability, accountability, and ethical governance. Once accountable only to shareholders, directors are now expected to address broader stakeholder interests, including environmental protection, human rights, and social equity. Using a comparative legal framework, the chapter explores how jurisdictions such as the EU, USA, Brazil, Japan, South Africa, and Canada conceptualise directors' responsibilities in relation to sustainability and long-term value. It also addresses enforcement challenges, regulatory fragmentation, and the normative dilemmas faced within complex legal systems. By integrating legal theory, case studies, and global soft law instruments, the chapter proposes a reimagined model of corporate leadership grounded in intergenerational responsibility and institutional integrity. It contributes to debates on sustainable development by highlighting the need for inclusive governance frameworks aligned with evolving international standards.
